Terms of Use

These Terms of Use ("Terms") govern the access to and use of the Globe Business OneHub portal ("Portal") provided by Globe Telecom ("Globe", "we", "our", or "us").
By accessing, browsing, registering for, or using the Portal, you ("User", "Customer", "Partner", or "you") agree to be bound by these Terms.
1. Purpose of the Portal
The Portal is an online marketplace and management platform that enables Users to:
- Browse, evaluate, purchase, subscribe to, renew, and manage products and services offered by Globe and/or third-party providers;
- Access account, subscription, billing, and support information;
- Manage licenses, orders, and service entitlements;
- Access marketplace features, content, tools, and related services made available through the Portal.
2. Eligibility and Authority
You represent and warrant that:
- You are at least eighteen (18) years old or otherwise have legal capacity to enter into binding agreements;
- If acting on behalf of an organization, you have the authority to bind such organization to these Terms;
- All information provided to Globe is accurate, complete, and current.
3. Account Registration and Security
3.1
Users may be required to create and maintain an account to access certain Portal features.
3.2
Users are responsible for:
- Maintaining the confidentiality of account credentials;
- All activities conducted under their account;
- Promptly notifying Globe of any unauthorized access, security breach, or misuse of account credentials.
3.3
Globe reserves the right to suspend, disable, or terminate accounts that are suspected of unauthorized, fraudulent, unlawful, or abusive activity.
4. Marketplace Transactions
4.1
Products and services available through the Portal may be provided by Globe, its affiliates, licensors, distributors, resellers, or third-party suppliers ("Providers").
4.2
Orders submitted through the Portal constitute a request to purchase or subscribe and remain subject to:
- Product availability;
- Provider approval, where applicable;
- Successful completion of verification requirements;
- Payment validation.
4.3
Additional product-specific terms, subscription agreements, license terms, service descriptions, and ordering documents may apply and shall form part of the contractual arrangement governing the applicable product or service.
4.4
In the event of any conflict between these Terms and any product-specific agreement, the product-specific agreement shall prevail solely with respect to that product or service.
5. Pricing and Payment
5.1
Prices displayed on the Portal are subject to change without prior notice unless otherwise agreed in writing.
5.2
Applicable taxes, fees, charges, and government assessments may be added to the displayed pricing.
5.3
Users agree to pay all charges associated with orders, subscriptions, renewals, overages, usage-based fees, and other applicable charges.
5.4
Failure to pay any amount due may result in suspension, restriction, or termination of access to the applicable product, service, or Portal functionality.
6. Acceptable Use
Users shall not:
- Use the Portal for any unlawful, fraudulent, or unauthorized purpose;
- Interfere with, disrupt, or compromise the security, integrity, or operation of the Portal;
- Attempt to gain unauthorized access to systems, networks, accounts, or data;
- Upload, transmit, or distribute malicious code, viruses, malware, or harmful content;
- Reverse engineer, decompile, copy, modify, or create derivative works of the Portal except as expressly permitted by law;
- Use automated tools, bots, scraping technologies, or data extraction mechanisms without Globe's prior written consent;
- Misrepresent identity, affiliation, authority, or authorization.
Globe may investigate suspected violations and take appropriate action, including suspension or termination of access.
7. Third-Party Products and Services
7.1
Certain products, services, software, content, or applications made available through the Portal may be provided by third parties.
7.2
Globe does not own or control such third-party offerings and is not responsible for:
- Their performance or availability;
- Product functionality or compatibility;
- Third-party content;
- Acts, omissions, warranties, or representations of third-party providers.
7.3
Use of third-party products and services may be subject to separate terms, licenses, privacy notices, and policies imposed by the applicable provider.
8. Intellectual Property
8.1
The Portal, including its software, design, interfaces, trademarks, logos, content, and documentation, is owned by Globe, its licensors, or its suppliers and is protected by applicable intellectual property laws.
8.2
Except as expressly permitted under these Terms, no rights, licenses, or ownership interests are transferred to Users.
8.3
Users shall not remove, alter, obscure, or modify any copyright, trademark, proprietary notice, or attribution appearing on the Portal.
9. Privacy and Data Processing
9.1
Globe processes personal information in accordance with applicable privacy and data protection laws and its Privacy Policy.
9.2
By using the Portal, Users acknowledge and consent to the collection, processing, storage, transfer, and use of information necessary for:
- Account administration;
- Order fulfillment;
- Service delivery;
- Customer support;
- Billing and payment processing;
- Security monitoring and fraud prevention;
- Compliance with legal and regulatory requirements.
10. Availability and Changes
10.1
Globe may modify, update, enhance, suspend, restrict, or discontinue any portion of the Portal at any time.
10.2
Globe does not guarantee uninterrupted, error-free, or continuous availability of the Portal.
10.3
Planned maintenance, upgrades, security measures, or unforeseen events may affect access to the Portal.
11. Representations, Warranties and Disclaimers
Representations and Warranties
Each party represents that it has full power and authority to enter into the Agreement.
Each party warrants that it will comply with all laws and regulations applicable to its provision, or use, of the Services, as applicable (including applicable security breach notification law).
Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT AS EXPRESSLY PROVIDED FOR HEREIN, NEITHER PARTY MAKES ANY OTHER WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE AND NONINFRINGEMENT.
GOOGLE MAKES NO REPRESENTATIONS ABOUT ANY CONTENT OR INFORMATION MADE ACCESSIBLE BY OR THROUGH THE SERVICES.
CUSTOMER ACKNOWLEDGES THAT THE SERVICES ARE NOT A TELEPHONY SERVICE AND THAT THE SERVICES ARE NOT CAPABLE OF PLACING OR RECEIVING ANY CALLS, INCLUDING EMERGENCY SERVICES CALLS, OVER PUBLICLY SWITCHED TELEPHONE NETWORKS.
12. Limitation of Liability
To the fullest extent permitted by law:
- Globe shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, goodwill, business opportunities, data, or anticipated savings;
- Globe's aggregate liability arising out of or relating to the Portal shall not exceed the total fees paid by the User for access to the Portal during the twelve (12) months immediately preceding the event giving rise to the claim.
13. Indemnification
Users agree to defend, indemnify, and hold harmless Globe, its affiliates, officers, directors, employees, agents, and contractors from and against any claims, damages, losses, liabilities, penalties, costs, and expenses arising from:
- Violation of these Terms;
- Misuse of the Portal;
- Violation of applicable laws;
- Infringement of third-party rights;
- Content or information submitted by the User.
14. Suspension and Termination
Globe may immediately suspend, restrict, or terminate access to the Portal if:
- The User breaches these Terms;
- Fraudulent, illegal, or unauthorized activity is suspected;
- Required payments remain overdue;
- Necessary to protect Globe, its customers, providers, systems, or business operations;
- Required by law, court order, or regulatory directive.
Termination shall not affect accrued rights, obligations, or liabilities existing prior to termination.
15. Audit and Compliance
Where the Portal facilitates access to licensed products, subscriptions, or usage-based services, Globe and/or the applicable Provider may verify compliance with applicable licensing, subscription, and usage requirements, subject to applicable laws and contractual rights.
Users agree to reasonably cooperate with such verification activities.
16. Force Majeure
Globe shall not be liable for delays, interruptions, or failures resulting from causes beyond its reasonable control, including natural disasters, acts of government, labor disputes, telecommunications failures, cyberattacks, utility interruptions, epidemics, or similar events.
17. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Philippines.
The parties shall first attempt in good faith to resolve any dispute through amicable negotiations. If unresolved, the dispute shall be submitted to the exclusive jurisdiction of the courts of Taguig, unless otherwise required by applicable law.
18. Changes to the Terms
Globe reserves the right to amend these Terms at any time. Updated Terms shall become effective upon posting on the Portal unless otherwise specified.
Continued use of the Portal after such changes constitutes acceptance of the revised Terms.
